Membership Agreement for BIG | Collab

BIG | Collab, a division of Blueprint Bay Consulting & Design Firm, hereinafter referred to as "BIG | Collab." WHEREAS, BIG | Collab is an organization committed to fostering collaboration, cooperation, and goodwill among its members; and WHEREAS, Member desires to become a member of BIG | Collab and agrees to be bound by the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Member and BIG | Collab agree as follows:

a. Member shall be entitled to participate in BIG | Collab's activities, events, and collaborations. b. Member shall have access to information and resources shared within BIG | Collab.

Member agrees to operate in good faith and good will, promoting cooperation, collaboration, and respect for fellow members. Member shall not engage in any activities that may harm the reputation or integrity of BIG | Collab or its members. BIG | Collab reserves the right to remove members who fail to operate in good will with no reimbursement of dues and fees.

a. Member agrees not to disclose any confidential information or proprietary information shared by other members or BIG | Collab during the course of membership, except where such disclosure is expressly permitted or required by law. b. Member acknowledges and agrees that any information received from other members is confidential and shall be protected accordingly.

a. Member shall pay all dues and fees required for BIG | Collab membership in full and in accordance with the agreed-upon schedule. b. Member acknowledges and agrees that the initial dues payment for the first year is subject to a 90-day return policy. If the Member or BIG | Collab requests a refund within 90 days of the initial payment, BIG | Collab shall return the annual dues in full within 45 days of request.

In the event that a member misses three consecutive meetings without providing a minimum 24-hour notice to the facilitator, BIG | Collab reserves the right to terminate their membership.

Membership may be terminated by BIG | Collab for reasons including, but not limited to, violation of this Agreement, non-payment of dues and fees, or any actions that harm the organization's mission, reputation, or members. Termination shall be at the sole discretion of BIG | Collab.

This Agreement shall be governed by and construed in accordance with the laws of the state of Florida. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in the state of Florida.

BIG | Collab retains the right to make amendments to this agreement as necessary. However, any proposed amendments must be agreed upon and signed by all parties involved in the agreement to become valid and enforceable.

Member grants BIG | Collab, its representatives, and authorized third parties the irrevocable right and permission to use your name, image, likeness, and any other personal attributes in any media format, including but not limited to photographs, videos, and audio recordings, for promotional, advertising, and educational purposes related to BIG | Collab. Member releases BIG | Collab from any and all claims, demands, actions, or liabilities arising out of or in connection with the use of your name, image, likeness, or other personal attributes as described in this media release clause. Member understands and agree that you will not receive any compensation, monetary or otherwise, for the use of your name, image, likeness, or other personal attributes in accordance with this media release clause. This media release clause shall remain in effect for the duration of your membership with BIG | Collab and for a reasonable period thereafter.

This Agreement constitutes the entire agreement between the Member and BIG|Collab concerning the subject matter herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties. The terms agreed upon in this agreement shall remain in effect indefinitely and are automatically renewed upon payment of annual dues every yearly cycle.
